3. Client Responsibilities

Clients agree to:

Provide accurate information necessary for the delivery of services.
Collaborate with us and provide timely feedback.
Ensure that any content provided does not infringe on the rights of third parties or contain unlawful material.
Make timely payments as agreed in the client contract.

4. Payment Terms

Fees: Fees for services will be outlined in a written agreement with each client.
Invoicing: We will issue invoices based on the agreed-upon billing schedule. All invoices are payable in advance.
Late Payments: Late payments may be subject to interest or additional fees as detailed in the client agreement.

5. Intellectual Property

Client Ownership: Any content provided by the client remains the client's property.
VAdz Media Ownership: All work created by VAdz Media, including strategies, designs, and content, remains our intellectual property until full payment is received. Upon payment, ownership will be transferred as outlined in the client agreement.
License: Clients grant VAdz Media a limited license to use the client’s content solely for providing the services.

6. Confidentiality

Both parties agree to keep any confidential information shared during the course of the services private and secure. Confidential information shall not be disclosed to any third parties without prior consent.

7. Limitation of Liability

VAdz Media shall not be liable for:

Any indirect, incidental, or consequential damages resulting from the use of our services.
Errors or issues that arise from third-party services, such as social media platforms, search engines, or hosting providers.
Any delays or failures in performance due to circumstances beyond our reasonable control.

Our total liability, in any case, shall be limited to the total amount paid by the client for services rendered under the applicable client agreement.

8. Indemnification

Clients agree to indemnify and hold harmless VAdz Media, its affiliates, and employees from any claims, damages, losses, or expenses arising from their use of our services, breach of these terms, or violation of any third-party rights.

9. Termination

Either party may terminate the agreement upon written notice. Upon termination:

Any outstanding payments for services rendered must be settled.
VAdz Media will provide any work completed up to the date of termination, subject to payment of fees due.

10. Dispute Resolution

Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through good-faith negotiations. If a resolution cannot be reached, the dispute may be settled in accordance with applicable laws in Regional Municipality of Peel.

11. Governing Law

These Terms and Conditions are governed by the laws of Ontario, Canada without regard to its conflict of law principles.

12. Changes to Terms and Conditions

We reserve the right to update or modify these Terms and Conditions at any time. The latest version will be available on our website, and continued use of our services constitutes acceptance of any changes.
